Tech solutions firm announces is it now employee owned

Phase 2 executives Heath Clinton, Shane Kempton & Mark Towler announced the company’s plans to be employee-owned at a recent employee summit.

OKLAHOMA CITY (Jan. 24, 2023) – Phase 2, an Oklahoma-based technology solutions firm with employees in 12 states, announced today the company is now fully employee-owned  after converting to an Employee Stock Ownership Plan (ESOP).

Founder and Chairman Mark Towler said the new ownership model is the result of thoughtful succession planning. The move positions the company to continue to grow and hire the best talent.

“In the past 25 years, Phase 2 has evolved, just as technology has. But at our core we have remained focused on our people,” said Towler. “The change allows us to reinforce this core value while also creating incredible opportunities for the company – and our employees – to succeed long term.”

CEO Heath Clinton said leadership chose this model versus other options, like selling to a private equity firm, for a number of reasons. As an employee-owned company, the business can operate independently, as well as provide employees a retirement benefit and literal stake in its financial success.

“Being employee owned means the destiny of our company is in the hands of the people who care the most – our employees,” said CEO Heath Clinton. “As we reward our team, they will take exceptional care of our clients and each other.”

This new model supports Phase 2’s recruitment efforts as well, according to Shane Kempton, president and chief technology officer.

“Fostering an internal culture of personal ownership has always been important to us because we know it’s important to top tech talent,” said Kempton. “As we grow, we have to continue to attract and retain the best, and this decision strongly supports that.” All three leaders will stay in their current roles.

“This is just the beginning of the next chapter of Phase 2 and not an end point for any of us in leadership,” said Towler. “We all look forward to working hand-in-hand with our team to create custom technology solutions that meet our customers’ needs.”
